01Acceptance of terms
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
02Accounts
You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at support@apexmcc.org if you suspect unauthorized use.
You must be at least 16 years old to use the Service.
03Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulation;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
- Interfere with or disrupt the integrity or performance of the Service, including via malware, denial-of-service attacks, or unauthorized automated access;
- Impersonate any person or entity, or misrepresent your affiliation;
- Upload content that infringes the intellectual property or privacy rights of others.
We reserve the right to suspend or terminate accounts that violate this section.
04Fees
Apex MCC does not currently sell any products or charge fees for the Service. There is nothing to pay, and no refund policy applies. If this changes in the future, this section will be updated to describe applicable fees and refund terms before any charges are introduced.
05Intellectual property
The Service, including its software, design, text, graphics, and logos, is owned by Apex MCC or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.
06User content
You retain ownership of any content you submit, post, or upload to the Service ("User Content"). By submitting User Content, you grant Apex MCC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely to operate and improve the Service.
You are solely responsible for your User Content and represent that you have all rights necessary to grant the license above.
07Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, or for any other reason at our discretion, including discontinuation of the Service. Upon termination, provisions that by their nature should survive termination (including Sections 05 Intellectual Property, 08 Disclaimers, 09 Limitation of Liability, 10 Indemnification, and 11 Governing Law & Disputes) will continue to apply.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
09Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX MCC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICE. AS APEX MCC DOES NOT CHARGE FEES FOR THE SERVICE, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations on liability, so parts of this section may not apply to you.
10Indemnification
You agree to indemnify and hold harmless Apex MCC, its officers, directors, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service or violation of these Terms.
11Governing law & disputes
These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-law principles. Any dispute arising out of these Terms shall be resolved in the state or federal courts located in Michigan, and you consent to their exclusive jurisdiction.
12Changes to these terms
We may modify these Terms from time to time. If we make material changes, we will post the updated Terms on our website with a revised "last updated" date before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
